Mutual Non-Disclosure Agreement

Private Client — SH ITSec Ltd

Date: 1 December 2025

Parties: (1) SH ITSec Ltd (“Consultant”) and (2) the undersigned private client (“Client”).

1. Purpose

The parties wish to discuss and/or conduct private client digital forensics and incident response services (“Purpose”).

2. Confidential Information

Confidential Information means any non-public information disclosed by either party, including personal data, technical, legal, financial, security and investigative materials, whether oral or written.

3. Obligations

Use Confidential Information solely for the Purpose.
Protect it with at least reasonable care; disclose only to personnel/advisers with a need-to-know and equivalent obligations.
Return or destroy upon request; maintain legal privilege where applicable.

4. Exclusions

Information is not confidential if it is or becomes public through no fault of the recipient; was already known; is independently developed; or is lawfully obtained without duty of confidence.

5. Legal

Compelled disclosure permitted with prompt notice (where lawful).
No licence or transfer of IP is granted.
Term: 3 years from the Last Disclosure; personal data handled per applicable law.
Governing law: England & Wales; exclusive jurisdiction of its courts.
